L.L.BEAN MASTERCARD CARDMEMBER REWARDS PROGRAM TERMS OF USE

The following “Cardmember Rewards Program Terms of Use” set forth the terms and conditions of the L.L.Bean Mastercard Cardmember Rewards Program (“Cardmember Rewards Program”). These Cardmember Rewards Program Terms of Use include information describing eligibility for the Cardmember Rewards Program, including the accrual and redemption of Bean Bucks, as well as other important conditions and limitations of the Cardmember Rewards Program. Please read this information and keep it for your records.

Any use of the Account (defined below) will serve as acknowledgment of your receipt and review of these Cardmember Rewards Program Terms of Use, and constitute your acceptance of, and agreement with each of the terms and conditions described below. These Cardmember Rewards Program Terms of Use are separate from the Card Agreement between you and Citibank, N.A. (“Citibank”).

Important note: These Cardmember Rewards Program Terms of Use apply to any disputes you may have with respect to the Cardmember Rewards Program. Any disputes between you and Citibank related to your card or account are governed by your Card Agreement with Citibank. These Cardmember Rewards Program Terms of Use are subject to the jury trial waiver and arbitration provision included herein that limit L.L.Bean’s liability to you, eliminate your right to a trial by jury, require you to resolve disputes with L.L.Bean on an individual basis and not as a part of any class or representative action, and through final and binding arbitration. Please read these Cardmember Rewards Program Terms of Use carefully for important information about your rights and obligations in the Cardmember Rewards Program.

1. Issuer. Your L.L.Bean Mastercard account, issued by Citibank, is the account associated with your L.L.Bean Mastercard card and may only be used for consumer purposes (the “Account”). L.L.Bean, Inc. (“L.L.Bean”) is not a party to the Card Agreement.

2. Cardmember Rewards Program Overview. The Cardmember Rewards Program is a U.S. based loyalty program and is available only to residents of the U.S. and its territories. Participation in the Cardmember Rewards Program and the benefits of the Cardmember Rewards Program are provided by L.L.Bean and offered at the sole discretion of L.L.Bean.

3. Eligibility: Upon approval of the Account, you become eligible to participate in the Cardmember Rewards Program. To be eligible to participate in the Cardmember Rewards Program you, the “Cardmember”, must: (a) maintain an open Account with Citibank, (b) maintain such Account in good standing, (c) be an individual (corporations, partnerships, and other entities may not participate), and (d) be a legal resident of and reside within the United States or U.S. Territories. Each Account is enrolled in the Cardmember Rewards Program once, regardless of the number of Cardmembers and authorized users.

4. Benefits and Rewards. Each eligible Cardmember participating in the Cardmember Rewards Program shall receive the following benefits and rewards, which are offered at the sole discretion of L.L. Bean. The benefits and rewards offered under this Cardmember Rewards Program may be added, modified, or removed at any time, without notice, except as required by applicable law.

(a) Earn Bean Bucks. Eligible Cardmembers are eligible to earn Bean Bucks and shall have the ability to redeem Bean Bucks as more fully described herein. Bean Bucks shall be earned based upon use of the Account for eligible purchase transactions. Bean Bucks shall have no cash or monetary value. Bean Bucks may not be redeemed for cash but may only be redeemed as described in these Cardmember Rewards Program Terms of Use. Bean Bucks may not be used to pay off or pay down any account issued by Citibank or its affiliates.

(b) Receive free standard shipping. Eligible Cardmembers are eligible to receive free standard shipping if the L.L.Bean order is paid for by the use of the Account or entirely with Bean Bucks. Free standard shipping applies to L.L.Bean’s standard shipping to the U.S. Free standard shipping does not apply to expedited shipping and handling, oversized freight delivery, L.L.Bean for Business orders or shipping to addresses outside of the U.S.

(c) Receive free return shipping. Eligible Cardmembers are eligible to receive free return shipping on returns for an item purchased at L.L.Bean requires the item to have been paid for by the use of the Account or entirely with Bean Bucks. The use of the L.L.Bean Designated Return Label(s) included with your order or printed from llbean.com is required. Returns from APO/FPO addresses must use the L.L.Bean USPS Designated Return Label. To access this label visit llbean.com or contact an L.L.Bean representative at 1-800-555-1173 (TTY: Use 711 or other Relay Service). Free return shipping does not apply to expedited shipping and handling, items requiring oversized freight shipping nor is it valid for L.L.Bean for Business items or items returned from international locations.

(d) Receive Monogramming. Eligible Cardmembers are eligible to receive the free monogramming service (“Monogramming”) for those items which have been purchased at L.L.Bean with use of the Account or entirely with Bean Bucks and for which Monogramming is offered. Monogramming is defined as the machine stitching of up to ten spaces per line using one thread color in the availability of the styles L.L.Bean offers. Monogramming is free for multiple lines as space permits on each individual item. Monogramming does not apply to L.L.Bean for Business orders or international orders.

(e) L.L.Bean Birthday Bonus Offer. Eligible Primary Cardmembers (the primary Account holder of the L.L. Bean Mastercard Account) are eligible to receive the L.L. Bean Birthday Bonus Offer. The Birthday Bonus Offer will be awarded to the Primary Cardmember during their birthday month. To be eligible, the Primary Cardmember must be an active cardmember in good standing at least 45 days prior to the first day of their birthday month. Exclusions may apply. Cardmembers should refer to promotional offer terms and conditions for details of an offer. Only one Birthday Bonus Offer will be awarded in a 12-month period. A valid, promotional email address may be required to receive certain details and offers. The email address provided at the time of application will be used unless you update your email address with Citibank or L.L.Bean.

(f) Special Sales and Offers. Cardmembers are eligible to receive L.L.Bean sales and offers. The value of each offer may differ, and there is no guarantee of a certain minimum number of sales or offers. These may be made available on occasion and may require the use of the Account to benefit from the offer. Exclusions apply and you must refer to promotional terms and conditions for specific details. A valid, promotional email address may be required to receive certain details and offers. The email address provided at the time of application will be used unless you update your email address with Citibank or L.L.Bean.

(g) L.L.Bean Outdoor Discovery Programs Discount. Cardmembers are eligible to receive 15% savings off the total costs of eligible L.L.Bean Outdoor Discovery Programs programming and trips, excluding tax. Excludes custom programs, youth camps and rental programs. Offer cannot be combined with other offers unless explicitly stated. A promotional code may be required, at L.L.Bean’s discretion. A valid marketing eligible email address with L.L.Bean may be required to receive notification of certain offers, though email delivery is not guaranteed. A valid, promotional email address may be required to receive certain details and offers. The email address provided at the time of application will be used unless you update your email address with Citibank or L.L.Bean.

(h) Outdoor Impact Votes. Each L.L.Bean purchase, (valid only at L.L.Bean U.S. retail stores, U.S. phone orders, and at llbean.com) made with the L.L.Bean Mastercard or Bean Bucks will earn one (1) Outdoor Impact Votes (“Vote”) except on purchases made on the day of being approved for the L.L.Bean Mastercard. Votes will be able to be redeemed towards a set of pre-determined non-profit organizations during an annual voting window. Eligible organizations and voting windows will be specified at L.L.Bean’s discretion. Funding, as determined by L.L.Bean, will be allocated across the non-profit organizations based on the percentage of Votes (from both L.L.Bean Rewards Members and L.L.Bean Mastercard members) received by each organization. Voting will take place exclusively on llbean.com and an active llbean.com account is required to participate in voting. Uncast Votes will be expired at the conclusion of each voting window. A valid, promotional email address may be required to receive certain details and offers. The email address provided at the time of application will be used unless you update your email address with Citibank or L.L.Bean.

5. Restrictions on Bean Bucks. Bean Bucks are only redeemable by the Cardmember(s) and/or authorized user(s) of the Account. Bean Bucks cannot be transferred from or to any other Account. Bean Bucks do not constitute property of the Cardmember and are not transferable by operation of law or otherwise to any person or entity, except as provided for under the terms described in these Cardmember Rewards Program Terms of Use.

6. Termination of Eligibility and Impact of Termination

(a) Termination of Eligibility.

Your Account must remain open and in good standing (e.g., not in default, not closed for fraud), as determined by Citibank in its sole discretion, for you to be eligible to earn or redeem Bean Bucks. L.L.Bean may terminate your participation in the Cardmember Rewards Program at any time and for any reason, including, but not limited to, if you: (a) violate these Cardmember Rewards Program Terms of Use; (b) make purchases for a business or for resale; (c) manipulate the Cardmember Rewards Program; (d) make excessive returns; (e) otherwise act in a manner inconsistent with the intent of the Cardmember Rewards Program; or (f) fail to use your Account for at least one (1) purchase transaction every twenty-four (24) months (excluding balance transfers or cash advances). Citibank and/or L.L.Bean may also request information from you regarding your participation in the Cardmember Rewards Program if there is reason to believe a violation has occurred.

(b) Impact of Termination.

If your Account is closed and your eligibility in the Cardmember Rewards Program is terminated or you voluntarily cancel your enrollment, you will no longer be able to redeem Bean Bucks, and any unredeemed Bean Bucks will be forfeited immediately, unless prohibited by law. If the Cardmember Rewards Program is terminated, or if, in L.L.Bean’s sole discretion, you are prohibited from shopping at L.L.Bean, all Bean Bucks will be unredeemable and forfeited immediately, unless prohibited by law. If your Bean Bucks are forfeited for any reason, they will not be reinstated to your account nor will they transfer to L.L.Bean Rewards.

7. Limitation of Liability for Denied Cardmember Rewards Program Benefits. If a Cardmember is denied a benefit of the Cardmember Rewards Program to which he or she is entitled, the liability of L.L.Bean and Citibank shall be limited to the Cardmember’s earned portion of that benefit.

8. Contact Information for Bean Bucks Inquiries and Redemption. For questions regarding the earnings of Bean Bucks or the use of Bean Bucks call 1-866-484-2614 (TTY: Use 711 or other Relay Service). For questions regarding Bean Bucks redemption call 1-800-555-1173 (TTY: Use 711 or other Relay Service).

9. Changes to the Cardmember Rewards Program. L.L.Bean may, from time to time, and in its discretion, modify the Cardmember Rewards Program and Cardmember Rewards Program Terms of Use (including the benefits) and/or terminate a Cardmember’s participation in the Cardmember Rewards Program.

10. Conversion of Bean Bucks from the L.L.Bean Rewards Program to the Cardmember Rewards Program. Upon approval of the L.L.Bean Mastercard, the Cardmember’s participation in the L.L.Bean Rewards Program will automatically terminate. Any balance of points and Bean Bucks that the Cardmember earned through the L.L.Bean Rewards Program will automatically convert to Bean Bucks issued under the Cardmember Rewards Program. Cardmember’s should allow up to 30 days for the transfer to be processed.

11. Earning Bean Bucks. An eligible Cardmember in good standing (as determined by Citibank in its sole discretion) may earn Bean Bucks for the type of purchase transaction charged to the Account as follows:

(a) 5% on all eligible net purchases from L.L.Bean U.S. retail stores, online purchases at llbean.com or L.L.Bean phone orders. (valid only at L.L.Bean’s businesses in the U.S.).

(b) 2% on all eligible net purchases from restaurants. Cardmembers may only earn 1%, not 2%, on restaurant purchases at bakeries and certain restaurants/cafes inside department stores, grocery or warehouse clubs, as determined by L.L.Bean in its discretion, due to merchant codes (as further described below), which are out of the control of Citibank or L.L.Bean.

(c) 1% on all other eligible net purchases. Merchants must submit charges under the appropriate merchant code or industry code for a Cardmember to receive the additional rewards. Neither L.L.Bean nor Citibank determine whether merchants appropriately identify all transactions made on an Account, but L.L.Bean does reserve the right to determine which purchases qualify for rewards.

12. Bean Bucks Earning and Redemption; Changes to Eligible Transactions. Bean Bucks earnings are based on new net purchase activity (i.e., purchases less credits, returns, and adjustments) charged to the Account during each periodic billing cycle. Fractions of Bean Bucks will be rounded to the 100th decimal place and are subject to verification. Eligible purchases may be made by the Cardmember(s) and/or any authorized user(s) of the Account. Cardmembers do not earn Bean Bucks on balance transfers, convenience checks, and cash advances unless specified otherwise. Bean Bucks are not earned on foreign currency purchases, purchases of money orders, wire transfers and other cash equivalents; lottery tickets, gaming chips (and similar betting transactions); interest; unauthorized charges; credit insurance premiums; or purchases made by or for a business or for a business purpose. Bean Bucks are not earned on fees of any kind, such as late payment fees, returned payment fees, credit protection fees, annual fees, over limit fees, balance transfer fees, convenience check fees, foreign currency fees, and cash advance fees. The value of any Bean Bucks used toward a purchase will not earn Bean Bucks. Credits to the Account associated with eligible transactions such as returned purchases and/or adjustments will result in a reduction in Bean Bucks based on the Bean Bucks earn rate. If there is a negative Bean Bucks balance, any newly earned Bean Bucks will be used to offset any such negative Bean Bucks balance until such balance is brought to zero. It is your responsibility to review the current Cardmember Rewards Program Terms of Use for updates regarding eligible transactions.

13. Bean Bucks Statement, Availability, and Redemption. Bean Bucks will be displayed on the Cardmember’s monthly billing statement and will indicate the total number of Bean Bucks earned, Bean Bucks redeemed and the Bean Bucks balance carried over during the statement month.

Bean Bucks are automatically available upon your monthly billing date and indicated in your Bean Bucks balance section on your statement. Cardmembers may also view their current Bean Bucks balance electronically by logging into their Citibank online account or their llbean.com account. In the event of a discrepancy, the Bean Bucks balance displayed in the Citibank online account will prevail.

Cardmembers may redeem Bean Bucks in any amount. Bean Bucks that have not been redeemed, will remain in your Bean Bucks balance while your participation in this Cardmember Rewards Program remains active.

Each Bean Buck that you redeem shall reduce the total charge on your L.L.Bean purchase. The Cardmember may redeem Bean Bucks by phone, via the L.L.Bean web site (www.llbean.com) or in person at an L.L.Bean U.S. retail store. If a Cardmember is ordering by phone, the Cardmember must inform the L.L.Bean Customer Service Representative of the use of Bean Bucks at the time the order is placed. If a Cardmember is ordering from llbean.com, the Cardmember must select from the available Bean Bucks balance provided on llbean.com. If purchasing at an L.L.Bean U.S. retail store, the Cardmember must have the customer service representative apply Bean Bucks at the time payment is made.

14. Bean Bucks Usage and Restrictions. Bean Bucks may only be used towards the price of merchandise or services purchased from L.L.Bean. Bean Bucks are not redeemable towards expedited shipping and handling, oversized freight delivery, sales tax, a L.L.Bean Outdoor Discovery Program or a L.L.Bean for business purchase, nor are they redeemable for cash. Certain services may be excluded at the discretion of L.L.Bean.

If you return an item purchased at L.L.Bean for which Bean Bucks were redeemed, the portion of Bean Bucks redeemed for such item will be returned to your account, or in L.L.Bean’s discretion provided to you in the form of a merchandise credit gift card. The Cardmember(s) and any authorized user(s) of the Account may be asked to present identification in connection with any transaction involving the use of Bean Bucks.

15. General Terms and Liability. Bean Bucks and their use are subject to these Cardmember Rewards Program Terms of Use and to L.L.Bean’s applicable policies and practices governing the purchase and return of merchandise and services. The only rights granted to Cardmembers by these Cardmember Rewards Program Terms of Use are those expressly specified in these Terms of Use.

By redeeming Bean Bucks for L.L.Bean merchandise or services, the Cardmember releases Citibank, L.L.Bean and any of their respective parents, subsidiaries, and affiliates from any and all liability regarding redemption or use of Bean Bucks, or other features of the Cardmember Rewards Program.

16. Indemnification

You agree to indemnify, defend, and hold harmless L.L.Bean, Citibank, and their respective parents, subsidiaries, affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your violation of these Cardmember Rewards Program Terms of Use, your misuse of the Cardmember Rewards Program, or your violation of any law or the rights of any third party.

Disclaimer of Warranties

THE CARDMEMBER REWARDS PROGRAM, BEAN BUCKS, AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, L.L.BEAN AND CITIBANK DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. L.L.BEAN AND CITIBANK DO NOT WARRANT THAT THE CARDMEMBER REWARDS PROGRAM OR ANY RELATED SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

17. Privacy: You consent to the release of your personal information to third parties as necessary to carry out the Cardmember Rewards Program. Personal information collected in connection with the Cardmember Rewards Program will be handled in accordance with L.L.Bean’s Privacy Policy and applicable law, including state privacy statutes. 18. Other Terms: Any tax liability connected with receipt or use of any Bean Bucks is the Cardmember’s responsibility. Program void where prohibited or restricted by law. Bean Bucks are not transferable in the event of death, as part of a domestic relations matter, or for any other reason. The sale, trading, auction, barter or other transfer of any Bean Bucks is prohibited. Citibank and L.L.Bean each reserves the right to audit accounts at any time and to request validation of point-earning activities and point redemptions. Events beyond Citibank’s or L.L.Bean’s control, such as computer equipment or electronic data transmission failure, strikes, acts of God, civil disturbances, terrorism or war, which may materially affect either Citibank’s or L.L.Bean’s ability to perform, will allow L.L.Bean to suspend or terminate the Cardmember Rewards Program.

19. Governing Law: These Cardmember Rewards Program Terms of Use are governed by Maine state law, without reference to its conflicts of law doctrine, as such law is applied to agreements entered into and performed entirely within such jurisdiction.

20. Rewards Dispute Process.

If you believe there is an error or discrepancy in your Bean Bucks balance or a transaction related to the Cardmember Rewards Program, you must notify Citibank in accordance with your Card Agreement and Citibank’s policies.

21. Dispute Resolution; Binding Arbitration

IMPORTANT NOTICE REGARDING ARBITRATION

By participating in the Cardmember Rewards Program, you and L.L.Bean agree that, to the fullest extent permitted by applicable law, disputes will be resolved by binding individual arbitration as set forth below. You and L.L.Bean each also agree that this agreement affects interstate commerce so that the Federal Arbitration Act and federal arbitration law, not state law, apply and govern the enforceability of this dispute resolution provision (notwithstanding the governing law and venue provisions of these Cardmember Rewards Program Terms of Use).

You and L.L.Bean hereby waive any right to a jury trial of any claim and any right to participate in any class, mass, representative, or consolidated action. This agreement explains the existence, terms, conditions, and implications of the arbitration agreement and class action waiver in clear terms. Please review it carefully before participating in the Cardmember Rewards Program.

(a) Agreement to Arbitrate; Scope; Survival

To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Cardmember Rewards Program Terms of Use or your participation in the Cardmember Rewards Program, including the interpretation, applicability, enforceability, or formation of this arbitration provision, will be resolved exclusively through binding individual arbitration administered by JAMS under its Consumer Arbitration Minimum Standards, as amended from time to time. This arbitration agreement is reciprocally binding on both you and L.L.Bean: if you are required to arbitrate a claim, L.L.Bean is equally required to arbitrate such claim. This arbitration provision survives termination, cancellation, expiration, or suspension of your participation in the Cardmember Rewards Program.

(b) Small Claims Court Option

Either party may elect to bring an individual claim in small claims court in lieu of arbitration, provided the claim falls within that court’s jurisdiction and otherwise qualifies for small claims treatment. If the claims asserted in any request or demand for arbitration could have been brought in small claims court, then either you or L.L.Bean may elect to have the claims heard in small claims court, rather than in arbitration, at any time before the arbitrator is appointed, by notifying the other party of that election in writing. Any dispute about whether a claim qualifies for small claims court will be resolved by that court, not by an arbitrator. In the event of any such dispute, the arbitration proceeding will remain closed unless and until the small claims court issues a decision that the claim should proceed in arbitration.

(c) Administrator, Rules, and Neutral Arbitrator

JAMS will administer the arbitration pursuant to JAMS Streamlined Arbitration Rules and Procedures and Mass Arbitration Procedures and Guidelines then in effect. If any JAMS rule conflicts with these Cardmember Rewards Program Terms of Use, these Cardmember Rewards Program Terms of Use control to the extent permitted by law. The arbitrator must be independent and impartial. The parties will have a reasonable opportunity to participate in the selection of the arbitrator through the JAMS Arbitrator Selection, Disclosures and Replacement procedures. The JAMS rules are available at www.jamsadr.org.Nothing in this provision discourages or limits either party from being represented by counsel in the arbitration.

The parties agree that any questions or disputes regarding the arbitrability of any dispute shall be decided by the arbitrator. The arbitrator will have the power to rule on their own jurisdiction, including any issues concerning the existence, validity, or scope of either this agreement or the arbitration clause, and whether any claim is subject to arbitration. Notwithstanding the foregoing, (1) any dispute about whether a claim qualifies for small claims court will be resolved by that court, not by an arbitrator; and (2) a court will have the authority to determine whether the parties have complied with the informal dispute resolution procedures set out in this agreement and whether any claim you or L.L.Bean has filed in arbitration or in court is inconsistent with the Class and Mass Action Waiver included in this agreement.

Any facts, evidence, documents, or testimony introduced or produced in an arbitration proceeding may be used only in that proceeding and may not be disclosed, introduced, or used in another arbitration proceeding even if it involves the same or similar claims. We each also agree that the arbitrator will not be bound by rulings in any prior arbitrations not involving the same parties, even if they involved the same or similar claims.

(d) Location and Hearing Format

At your election, the arbitration will be conducted (i) in the county of your residence, (ii) by remote video conference, or (iii) on the papers without a hearing, consistent with JAMS procedures and the parties’ agreement.

(e) Fees and Costs

If you initiate arbitration, your only required filing fee is $250. L.L.Bean will pay all other arbitration costs, including any remaining JAMS filing and case management fees and all professional fees for the arbitrator’s services. If L.L.Bean initiates arbitration against you, L.L.Bean will pay all fees and costs associated with the arbitration. Each party will bear its own attorneys’ fees and costs unless a statute or these Cardmember Rewards Program Terms of Use expressly provide otherwise. In California, you will not be required to pay the fees and costs incurred by L.L.Bean if you do not prevail. However, if the arbitrator finds that either the substance of any claim or the relief sought was frivolous, or that any claim was brought for an improper purpose (as measured by the standards in Federal Rule of Civil Procedure 11(b)), then either party may seek an award of legal fees or costs against the other party and/or its counsel. This agreement authorizes the arbitrator to award fees or other sanctions against either party’s counsel.

(f) Available Remedies; Preservation of Substantive Rights

The arbitrator may award any relief available under applicable law that would otherwise be available in a court, including but not limited to actual damages, statutory damages and remedies, punitive damages where authorized, declaratory and injunctive relief specific to the parties, and an award of attorneys’ fees and costs where authorized by law. If either party seeks injunctive or declaratory relief, we agree that the arbitrator may award injunctive or declaratory relief in favor of party alone, and only to the extent necessary to resolve the party’s individual claim. This arbitration provision is intended to be broadly enforceable and does not limit or waive any non-waivable substantive rights or remedies available to you under applicable federal, state, or local laws

(g) Award; Form of Decision; Entry of Judgment

The arbitrator will issue a written, reasoned award that states the disposition of each claim and includes a concise written statement of the essential findings and conclusions on which the award is based.

Judgment on the award may be entered in any court of competent jurisdiction.

(h) Notice of Dispute; Good-Faith Efforts to Resolve

Before commencing arbitration, the party asserting a claim must send the other party a written notice (the “Notice of Dispute”) describing the nature and basis of the claim and the relief sought. The Notice of Dispute must contain enough information for us to identify you and attempt to resolve your claim, including (a) the name of the L.L.Bean account holder; (b) the specific product at issue, if applicable; (c) a written description of the problem, relevant documents and supporting information; and (d) a good faith calculation of the damages you claim to have suffered and a statement of the specific relief you are seeking. You may be represented by an attorney or other person in that process. However, if you choose to do so, you must also submit a signed written authorization with your Notice of Dispute that allows us to discuss your claims with your attorney or other representative. Similarly, if we have any dispute with you, we will send a Notice of Dispute to your billing address. The parties will use good-faith efforts to resolve the dispute informally for sixty (60) days after receipt of the notice. Either party may seek interim relief where available. If we are unable to resolve any claims within 60 days despite those good faith efforts, then either you or L.L.Bean may start arbitration or small claims court proceedings. To begin arbitration, each party must send a letter requesting arbitration and describing their claim to the other and to JAMS.

(i) Severability

If any portion of this arbitration provision is found unenforceable, that portion will be severed and the remainder enforced to the fullest extent permitted by law. If the agreement to arbitrate as a whole is found unenforceable, the dispute will be resolved in accordance with the governing law and venue provisions of these Cardmember Rewards Program Terms of Use.

(j) Class and Mass Action Waiver. 

YOU AND  WE EACH AGREE THAT ANY PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, REPRESENTATIVE, MASS, OR CONSOLIDATED ACTION (THE “CLASS AND MASS ACTION WAIVER”).  Neither you, nor we, nor any other customer, can be a class representative, class member, or otherwise participate in a class, consolidated, mass, or representative proceeding under this agreement.

In any action between you and L.L.Bean, if a court or an arbitrator determines that any part of this arbitration provision or Class and Mass Action Waiver is unenforceable with respect to any claim, remedy, or request for relief, then the arbitration provision and Class and Mass Action Waiver will not apply to that claim, remedy, or request for relief. But the arbitration provision and Class and Mass Action Waiver will still apply to all other claims, remedies, and requests for relief that you or L.L.Bean may assert in that or any other action. In any such case, you and L.L.Bean agree that we will arbitrate all claims, remedies, and requests for relief subject to individual arbitration first, and that any remaining unresolved claims, remedies, or requests for relief may be pursued in court only after the arbitrator’s award has been issued. In any such proceeding, the arbitrator’s factual findings will not be entitled to deference by the court.

(k) Jury Trial Waiver.  If a claim proceeds in court rather than through arbitration, YOU AND L.L.BEAN EACH WAIVE ANY RIGHT TO A JURY TRIAL.
